Accounting for Tech Startups

You raised $4M. Your bookkeeper still sends you a Google Sheet.

Pre-seed and seed-stage tech founders end up with a books problem the second they take institutional money. Cash accounting stops working. Investors expect accrual. The IRS expects accrual if you want R&D credits. We get you there before your first board meeting.
Fortress Accounting: GAAP-grade bookkeeping for tech startups, accrual day one, ASC 606 revenue recognition.

Trusted by the Best in the Buisness:

What it means

The accounting layer behind today's fastest-moving tech founders.

GAAP-grade bookkeeping built for the way early-stage software businesses actually run. Accrual books from day one. Revenue tied to ASC 606. Deferred revenue tracked at the contract level. Stock comp under ASC 718. R&D credits filed under §41 with the project-level documentation the IRS now requires.

The real problem

Most early-stage books break in three places.

Most tech startups under $5M in revenue get the wrong help. A bookkeeper sets up QBO, runs cash-basis books, reconciles bank feeds. That's fine until you raise a priced round.

/ 01

Deferred revenue is wrong

Annual contracts get recognized on cash. Your investor deck says $3M ARR. Your books say $2.4M. The gap is one or two ASC 606 errors and unrecognized deferred billing.

R&D credit is unfiled

Engineering payroll is one line. Cloud compute is "software subscriptions." There's no §41 study. Pre-revenue startups miss the §41(h) payroll tax offset worth up to $500K a year.

409A is stale

Last refresh was at incorporation. You've raised since. Your option grants expose employees to §409A penalties, and stock comp expense doesn't tie to your cap table on Carta.

What we do

Engineering-grade monthly close.

Where investor reporting is won or lost.

Annual contracts, prepaid billings, and usage-based pricing all hit ASC 606 differently. Your last firm recognized everything on cash. We tie revenue to contract-level performance obligations every month.

  • Daily reconciliation of Stripe, Mercury, Brex, and Ramp to your GL
  • Deferred revenue and contract liabilities flagged before close
  • ARR waterfall, GAAP P&L, and trial balance built off source data
  • Investor pack ties back to books — no reconciliation gaps
Investor deck ARR $3.0M
Last firm's books $2.4M −$600K
Fortress (ASC 606 tied) $2.97M +$570K

R&D credits filed the way the IRS now expects.

For 2025 returns, the IRS requires project-level documentation under the new Section G of Form 6765. Most generalist firms still file pre-Section G studies that won't survive an audit. We file at the business-component level.

  • Engineering payroll segmented for §41 four-part test
  • Cloud compute tagged at the project level for QRE allocation
  • §174A and §280C(c) elections coordinated, not filed separately
  • Small business retroactive election for 2022–2024 if eligible

Stock comp that ties to your cap table.

We pull grants from Carta or Pulley, calculate ASC 718 expense off your most recent 409A, and flag when a refresh is needed before your next priced round. Your equity expense reconciles to the share, not a guess.

  • Live sync with Carta or Pulley grant data
  • 409A expiration tracked, refresh flagged automatically
  • Black-Scholes inputs documented for every grant
  • QSBS qualification (§1202) tracked from formation

The data room is built before the term sheet.

Series A and B diligence usually adds four to six weeks to a fundraise. Most of that is reconstructing financials your books should have produced in the first place. We keep the package live so it's ready when the term sheet lands.

Frequently Asked Questions

The Questions founders actually ask.

Here are some of the frequently asked questions and their best answers for your clarification.

Do I need accrual accounting if I'm pre-revenue?
Yes if you’ve raised institutional capital, have prepaid contracts, or plan to claim R&D credits. Investors and the IRS expect accrual books in all three cases.
The week you sign your first priced round, or the month you cross $50K MRR, whichever comes first. Both events trigger reporting requirements that cash-basis books can’t handle.
Yes. Qualified small businesses under §41(h) can apply up to $500K of the federal R&D credit against payroll taxes, even with no income tax liability.
QuickBooks Online for most companies, Xero if your team prefers a cleaner interface or runs international payroll. NetSuite isn’t worth the cost until roughly $20M ARR.
Most pre-seed and seed-stage companies spend $1,500 to $4,000 per month on bookkeeping and tax. Series A companies usually run $4,000 to $10,000 once fractional CFO support is added.
Bookings is total contract value signed. Billings is what you’ve invoiced. Revenue is what ASC 606 lets you recognize this period. For an annual contract billed upfront, all three numbers are different on day one.
Pilot scales bookkeeping with software and a generalist team. Kruze focuses on Delaware C-corp VC-backed startups across all tech verticals. Graphite serves a wide range of startup industries through a generalist accounting model. Fortress goes deeper on the technical accounting and tax issues specific to AI, crypto, and tech-native cost structures, including compute tagging, foundation model API treatment, and §174A coordination with §41 elections.
